Bruce Goto is a principal and a senior member of the firm’s Corporate Transactions and Finance practice group, with a special focus on intellectual property and information technology issues. He prides himself in providing speedy and pragmatic advice for clients, and has been recognized year after year in Best Lawyers of America, Chambers, and Washington Super Lawyers to name just a few.

Bruce prepares and negotiates complex contracts covering cloud computing, outsourcing, application and technology development and licensing, information technology, enterprise services, and the manufacture, distribution, and marketing of various products. He develops brand strategies and registers trademarks, and counsels his clients on cyber security issues.

Bruce has also worked in Tokyo and Honolulu, and is conversant in Japanese. He supplements his extensive experience as outside counsel with his prior hands-on experience as in-house counsel. He regularly speaks and publishes on emerging issues in the fields of intellectual property and data privacy.

  • Preparation and negotiation of agreements covering software as a service (SAAS), cloud computing, and hosted service providers
  • Preparation and negotiation of agreements relating to the development, distribution, and licensing of software, computer games, and other technology (including agreements with developers, publishers, VARs, distributors, online stores, big box retailers, and end users)
  • Preparation and negotiation of various agreements covering software and services used in the health care industry
  • Preparation and negotiation of agreements for the manufacture, distribution and sale of industrial and consumer products
  • Preparation and negotiation of agreements for the outsourcing of services covering IT departments, call centers, product support, and logistics services
  • Preparation and negotiation of confidentiality and nondisclosure agreements and trade secret licenses
  • Preparation of privacy policies and HIPAA compliance documents such as business associate agreements
  • Preparation and negotiation of Internet agreements involving website development, content licensing, credit card processing, search engine marketing, banner advertising, website terms of use, and privacy policies
  • Preparation and negotiation of book publishing, video and film production, and celebrity endorsement agreements
  • Preparation and negotiation of co-marketing and joint promotion agreements
  • Preparation and negotiation of licenses and assignments for trademarks, copyrights and patents
  • Providing strategic counseling on branding and package design issues (experience includes the filing of hundreds of trademark applications with the U.S. Patent and Trademark Office)
  • Providing counseling on copyright issues, including the registration of copyrights

Bruce is conversant in Japanese.


When he is not in the office, Bruce can often be found working out at the Washington Athletic Club, or enjoying a wilderness or urban hike. The four years he spent working as an attorney internationally greatly expanded his perspectives, and he enjoys learning about other cultures and travelling to them when he can.
